Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and LastNight LLC, a California limited liability company (“LastNight”, “we”, “us”), the operator of GeoPilot. They govern your use of the GeoPilot app for Mac, the GeoPilot Go app for iPhone, the geopilot.shop website, and any related services, updates and features (together, the “Service”).

Please read these Terms carefully. They include a binding arbitration agreement and class action waiver (Section 18) that affect how disputes are resolved, a disclaimer of warranties (Section 14) and a limitation of our liability (Section 15). By creating an account, checking the box to agree, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Who can use GeoPilot

You must be at least 18 years old, or the age of majority where you live if that is higher, and able to form a binding contract. You may not use the Service if you are barred from doing so under applicable law, including U.S. export and sanctions laws. If you use the Service on behalf of an organization, you confirm that you are authorized to bind it to these Terms.

2. What GeoPilot does

GeoPilot lets you set a simulated location on an iPhone you own or are authorized to manage, using Apple's developer location-simulation feature. It requires Developer Mode on the iPhone, a Mac for setup, Apple's Xcode, an Apple ID, and the separate third-party LocalDevVPN app. The Service does not jailbreak or modify iOS.

The Service depends on Apple software and services, and on other third parties, that we do not control. Apple or others may change, limit or disable the features the Service relies on at any time, including through iOS, Xcode or Apple ID changes, development-certificate and provisioning-profile limits, or the 7-day expiry of apps installed with a free Apple ID. We do not guarantee that the Service will work with any particular device, iOS version, Apple account, network or app, or that it will continue to work.

3. Your account

You sign in with your email address and a one-time code. You are responsible for keeping access to your email account secure and for all activity under your GeoPilot account. Give us accurate information and tell us promptly at support@geopilot.shop if you believe your account has been compromised. We may refuse, suspend or close accounts as described in Section 17.

4. License to use the Service

Subject to these Terms and, where required, an active subscription, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service for your own personal, non-commercial purposes on devices you own or control, within the device limits of your plan. We and our licensors keep all rights not expressly granted to you.

Open-source software. The Service includes open-source components that are licensed to you under their own licenses (listed in the app's third-party notices). Nothing in these Terms limits any rights you have under those licenses, and where an open-source license conflicts with these Terms for that component, the open-source license controls.

5. Subscriptions, free trials and payment

• Plans. Paid plans are offered monthly or yearly at the prices shown at checkout, plus any applicable taxes. Each plan includes the number of iPhones stated at purchase; extra iPhones are an optional paid add-on, up to the maximum we offer.
• Free trial. New subscriptions may start with a free trial. A payment method is required. Unless you cancel before the trial ends, your subscription starts automatically and your payment method is charged the plan price for the first billing period.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, and your payment method is charged, until you cancel. You can cancel at any time in the app (Settings › Account › Manage subscription). Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Refunds. Except where required by law, all payments are final and non-refundable, including for partially used periods, unused add-ons, or periods in which the Service did not work with your device or setup. We may choose to give a refund or credit in a particular case, which does not oblige us to do so again.
• Price changes. We may change prices. We will tell you in advance, and the new price applies from your next renewal. If you don't agree, cancel before then.
• Payment processing. Payments are processed by Stripe under Stripe's terms. We don't receive or store your full card number. You authorize us and Stripe to charge your payment method for all fees you incur. If a payment fails, we may suspend paid features until it succeeds.
• Device slots. An iPhone or Mac counts against your plan when it is first used with your account and keeps its slot; slots are not transferable to other accounts.

6. Acceptable use

You are solely responsible for how you use the Service and for any simulated location you set. You agree not to use the Service:

• to break any law or regulation, or to violate anyone's rights;
• to commit or help commit fraud, deception or impersonation, including to mislead employers, schools, insurers, courts, law enforcement, or anyone who relies on your location;
• to interfere with emergency services, safety, navigation or location-critical systems, or in any situation where an incorrect location could cause injury, death or property damage;
• to stalk, harass, track or surveil anyone, or on a device you don't own or aren't authorized to manage;
• to violate the terms, rules or policies of any app, game, website, platform or service (“Third-Party Services”), including rules against location spoofing, cheating or gaining unfair advantages;
• to evade geographic restrictions in violation of law or of a Third-Party Service's terms, including for licensed content, gambling, betting or regulated activities;
• to copy, resell, rent, sublicense or share your account or the Service, to bypass its licensing, payment or device limits, or (except as permitted by law or an applicable open-source license) to reverse engineer it;
• to attack, overload or interfere with our servers or other users.

7. Third-party apps and services — your risk

Many apps and games prohibit location spoofing and may detect it. We do not promise that the Service is undetectable. If you use a simulated location with a Third-Party Service, you do so entirely at your own risk. We are not responsible for, and you release us from, any consequences, including warnings, suspensions, bans, account closures, lost items, progress, rewards, winnings, content or money, or claims by the operator of that Third-Party Service.

8. Apple, Xcode, LocalDevVPN and other third parties

GeoPilot is not affiliated with, endorsed by or sponsored by Apple Inc. iPhone, Mac, Xcode, iOS and Apple ID are trademarks of Apple Inc. Your use of Apple products and services, including Developer Mode, Xcode and your Apple ID, is governed by Apple's own terms, and you are responsible for complying with them. LocalDevVPN and other third-party apps, and map, search and routing providers (such as Apple Maps and OpenStreetMap services), are provided by third parties under their own terms. We are not responsible for third-party products or services, their availability, or their handling of your data.

You are responsible for your Apple ID and any certificates, profiles, App IDs or device registrations created with it. Apple limits these, and the Service may create, use or replace them on your behalf when you ask it to install or refresh GeoPilot Go.

9. Your device and data

Using the Service requires turning on Developer Mode and installing developer-signed software and a VPN profile on your iPhone, which may reduce some protections iOS normally provides. You do so at your own risk. You are responsible for backing up your devices and data. We are not responsible for any loss of data, device malfunction, battery use, or changes to your device settings.

10. Updates and changes to the Service

We may update, change, suspend or discontinue any part of the Service at any time, with or without notice, including features, supported devices and system requirements. Some updates may be required to keep using the Service. We are not liable to you for any change, suspension or discontinuation.

11. Feedback

If you send us ideas or suggestions, you allow us to use them for any purpose without obligation to you.

12. Intellectual property

The Service, including its software (other than open-source components), design, text, graphics, logos and the GeoPilot name, is owned by LastNight or its licensors and is protected by intellectual-property laws. You may not use our trademarks without our written permission.

13. Privacy

Our Privacy Policy explains what information we collect and how we use it. It is part of these Terms.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LASTNIGHT AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS AND SUPPLIERS (THE “LASTNIGHT PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR NEEDS, WORK WITH YOUR DEVICES, APPS OR ACCOUNTS, BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR UNDETECTABLE, THAT A SIMULATED LOCATION WILL BE APPLIED OR KEPT, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK. SOME JURISDICTIONS DON'T ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) THE LASTNIGHT PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ACCOUNTS, IN-APP OR VIRTUAL ITEMS, OR USE, OR FOR ANY BANS, SUSPENSIONS OR ACTIONS BY THIRD PARTIES, OR FOR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF A SIMULATED LOCATION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE LASTNIGHT PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) US $50. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US. SOME JURISDICTIONS DON'T ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnity

To the fullest extent permitted by law, you will defend, indemnify and hold harmless the LastNight Parties from and against any claims, demands, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to: your use or misuse of the Service; any simulated location you set and its consequences; your violation of these Terms, of any law, or of the terms of any Third-Party Service; or your violation of anyone's rights. We may take over the defense of any claim, and you will cooperate with us.

17. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account or access to all or part of the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or the law, to protect the Service or others, if required by law, or if we discontinue the Service. If we terminate your access for your breach, you are not entitled to a refund. Sections that by their nature should survive termination (including Sections 5 (payments owed), 6, 7, 11, 12 and 14–20) survive.

18. Dispute resolution: binding arbitration and class action waiver

Informal resolution first. Before starting any claim, you agree to email support@geopilot.shop with a description of the dispute and to try in good faith to resolve it with us for at least 30 days.

Arbitration. Except as stated below, you and LastNight agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, not in court. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, before a single arbitrator, and may be conducted by video conference or in Los Angeles County, California. The arbitrator decides all issues, including the scope and enforceability of this agreement to arbitrate, except that a court decides issues about the class action waiver below. Payment of fees is governed by the AAA rules. Judgment on the award may be entered in any court with jurisdiction. This agreement to arbitrate is governed by the Federal Arbitration Act.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property.

Class action waiver. You and LastNight may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable for any claim, that claim must be decided in court and not in arbitration.

Opt-out. You may opt out of this Section 18 by emailing support@geopilot.shop from your account email, with the subject “Arbitration opt-out”, within 30 days after you first agree to these Terms. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.

19. Governing law and venue

These Terms and any dispute between you and LastNight are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to Section 18, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction, and you and LastNight consent to their personal jurisdiction. If you live outside the United States, mandatory consumer-protection laws of your country may also apply, and nothing in these Terms limits rights that cannot be waived under those laws.

20. General

• Changes to these Terms. We may update these Terms. If we make material changes, we will notify you (for example in the app or by email) and may ask you to agree again. Continuing to use the Service after changes take effect means you accept them. If you don't agree, stop using the Service and cancel your subscription.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements.
• Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them, including in connection with a merger, acquisition or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including actions by Apple or other third parties, outages, or changes in law.
• Notices. We may send notices to your account email or in the app. You may send notices to support@geopilot.shop.
• California users. Under California Civil Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
